Terms of Service

1. Definitions

• "Client" means any individual or entity that purchases services from us or uses our website.
• "Services" means all IT consultancy, cloud solutions, cybersecurity, software development, managed IT support, and any other services offered by NorthWave Solutions.
• "Website" means northwavesolutions.com and all associated subdomains.
• "Agreement" refers to these Terms together with any applicable Statement of Work (SOW) or Service Order Form.

2. Use of Services

Subject to these Terms, we grant you a non-exclusive, non-transferable right to access and use our Services for your internal business purposes. You agree not to:

• Resell, sublicense, or otherwise make the Services available to third parties without our prior written consent.
• Use the Services in any manner that violates applicable laws or regulations.
• Attempt to gain unauthorized access to our systems or interfere with the proper functioning of the Services.
• Reverse engineer, decompile, or disassemble any software provided as part of the Services.

3. Client Responsibilities

As a Client, you are responsible for:

• Providing accurate and complete information necessary for the delivery of Services.
• Maintaining the confidentiality of any login credentials or access keys provided to you.
• Ensuring that your use of the Services complies with all applicable laws and third-party rights.
• Cooperating with us in a timely manner to enable us to perform the Services.

4. Fees and Payment

Fees for Services are as set out in the applicable Statement of Work or Order Form. Unless otherwise agreed, all fees are payable in pounds sterling (GBP) and are exclusive of VAT or other applicable taxes.

Invoices are due within 30 days of the invoice date. Late payments may incur interest at 2% above the Bank of England base rate and may result in suspension of Services.

5. Intellectual Property

All intellectual property rights in the Services (including software, designs, documentation, and know-how) remain our property or that of our licensors. We grant you a limited license to use such materials solely as necessary to receive the Services.

Any deliverables specifically developed for you (e.g., custom software) will be owned by you upon full payment, subject to any third-party licenses.

6. Confidentiality

Each party may have access to confidential information of the other. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall NorthWave Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Services.
• Any unauthorized access to or alteration of your transmissions or data.
• Any other matter relating to the Services.

Our total liability to you for any claim arising out of these Terms shall not exceed the total fees paid by you to us during the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold NorthWave Solutions harmless from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

Either party may terminate these Terms by written notice if the other party materially breaches any provision and fails to cure such breach within 30 days of receiving notice.

Upon termination, you must cease all use of the Services and pay any outstanding fees. Sections 5, 6, 7, 8, and 10 shall survive termination.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website prior to the effective date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
